1. Acceptance of Terms By accessing or using the IdeaMark mobile application (the “App”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use the App.
2. Use of the App IdeaMark grants you a personal, non-transferable, non-exclusive license to use the App for your personal, non-commercial use. You agree not to misuse the App or help anyone else do so.
3. User Content and Ownership
- Your Ideas are Yours: You retain full ownership of all notes, text, and other content you create using IdeaMark (“User Content”). We do not claim any ownership rights over your User Content.
- License to Us: To provide the service (e.g., syncing your ideas to the cloud), you grant IdeaMark a worldwide, royalty-free license to host, store, and display your User Content solely for the purpose of operating the App for you.
4. Subscriptions and Payments
- Pro Features: Certain features (e.g., Unlimited Sync, Archive) may require a paid subscription (“IdeaMark Pro”).
- Billing: Subscriptions are billed via the Apple App Store or Google Play Store. Pricing is displayed within the App at the time of purchase.
- Auto-Renewal: Your subscription will automatically renew at the end of each billing cycle (Monthly or Annually) unless you cancel it at least 24 hours before the current period ends.
- Cancellation: You can cancel your subscription at any time through your Apple ID or Google Play Account settings. We cannot cancel subscriptions on your behalf.
- Refunds: Refunds are handled directly by Apple and Google according to their respective refund policies.
5. Termination We reserve the right to suspend or terminate your access to the App at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.
6. Disclaimer of Warranties The App is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the App will be uninterrupted or error-free.
7. Limitation of Liability In no event shall IdeaMark, its developers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the App.
8. Changes to Terms We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the new Terms in the App or on our website. Your continued use of the App after any such changes constitutes your acceptance of the new Terms.
